DIRECTOR'S EXERCISE OF SHARE OPTIONS AND SHARE SALE

H&T Group plc (the "Company") announces that it has received notification of the exercise of 77,320 share options by Alex Maby, an Executive Director of the Group, over new ordinary shares of 5p each in the Company at a price of 194.0p per ordinary share and the sale of 67,320 ordinary shares by Alex Maby to satisfy tax obligations and option exercise costs. The options were awarded on 30 April 2009 and following the fulfillment of EPS based performance criteria have become exercisable from 1 May 2012.

The net effect of the share option exercise and share sale is to increase Alex Maby's shareholding by 10,000 shares. Alex Maby now holds 10,000 ordinary shares representing 0.03% of the Group's issued share capital.

Following admission of the 77,320 new ordinary shares to trading on the AIM Market of the London Stock Exchange, the Group now has 36,470,299 ordinary shares of 5p each in issue, with each share having one voting right.
