Result of AGM and Result of General Meeting
Shellproof announces that at the Company's AGM held today all the resolutions were duly passed.
In addition, at the Company's General Meeting held today all the resolutions were duly passed. Consequently, completion of the Acquisition of the Gusbourne Estates Business can now proceed to completion. Admission and commencement of dealings in the Placing Shares and Vendor Shares are expected to take place at 8.00 am on 27 September 2013. In addition, a resolution was passed to change the name of the Company to Gusbourne plc and a further announcement will be made when appropriate in relation to the name change.
Following admission, the issued share capital in Shellproof PLC will be 15,224,814 ordinary shares of 50 pence each. The above figure of 15,224,814 ordinary shares may be used by shareholders to determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
