("Green & Smart" or the "Company")

Result of Extraordinary General Meeting and Directorate Change

Green & Smart Holdings plc (AIM: GSH), a renewable energy company generating power from biogas captured through the treatment of palm oil mill effluent ("POME") in Malaysia, announces that at the Extraordinary General Meeting ("EGM") of the Company held earlier today, the revised resolution to change the Company's name to BiON plc was duly passed. The result of the proxy voting was 173,438,857 (100%) votes for, no votes against and 87,806 votes withheld. The Company will update investors once the name change becomes effective.

The Company also announces, further to the announcement of 3 January 2020, the appointment of Dato' Dr. Ir. Ts. Mohd Abdul Karim Bin Abdullah as Non-executive Chairman and Mr. Habizan Rahman Bin Habeeb Rahman as Executive Director of the Company with immediate effect. Datuk Haji Radzali Hassan, the former Chairman, remains on the Board of Directors and becomes Senior Independent Non-Executive Director.

Dato' Dr. Ir. Ts. Mohd Abdul Karim Bin Abdullah

Dato' Karim, aged 54, is Group Managing Director and CEO of Serba Dinamik Holdings ("Serba") and has over 30 years' experience in the engineering industry, primarily in the power, oil and gas sectors. He began his career as a mechanical engineer at Asean Bintulu Fertiliser Sdn Bhd. In 1993 he established Serba and has overseen its growth to become an international energy services group with a market value of approximately £1 billion. Serba has been listed on the Main Market of Bursa Malaysia since 8 February 2017 with stock name SERBADK and Stock Code 5279.

Dato' Karim has held the following directorships and / or partnerships in the past 5 years

Dato' Karim has no direct interest in the Company's securities. However, he is the Managing Director, CEO and a 21.7 per cent. shareholder in Serba Dinamik Holdings Berhad which, via two wholly-owned subsidiaries, is interested in a total of 86,403,581 ordinary shares in the Company representing 20 per cent. of the Company's issued share capital.

Mr. Habizan Rahman Bin Habeeb Rahman

Mr. Habizan Rahman, aged 43, is Managing Partner of Messrs. Rahman Rohaida and Chief Legal & Regulatory at iFIBER Holdings Sdn Bhd. He has been practising law since 2005, working at a number of Malaysian law firms, namely Messrs. Kadir Andri & Partners before establishing Messrs. Rahman Rohaida in 2011. His experience includes representing large construction companies and a major international oil & gas business in matters relating to commercial, banking, defamation, tort and corporate dispute resolution.

At iFIBER, a provider of high-speed internet network infrastructure in Malaysia and of which Mr. Habizan Rahman is also a shareholder, he oversees legal and regulatory matters as well as fund raising for the portfolio.

Mr. Habizan Rahman has held the following directorships and / or partnerships in the past 5 years

Mr. Habizan Rahman has no direct interest in the Company's securities. However, he is the Director and soon-to-be shareholder of K2M Ventures Sdn Bhd. He has agreed to purchase the shares of K2MV, completion of which is subject to certain conditions being finalised. On completion, through K2MV, he will have an interest in 112,319,753 ordinary shares in the Company representing 26 per cent. of the Company's issued share capital.

There are no other matters required to be disclosed pursuant to paragraph (g) of Schedule Two to the AIM Rules for Companies as regards Dato' Karim's and Mr. Habizan Rahman's appointments.
