Notification and Transactions of Directors / Persons Discharging Managerial Responsibility

Following the vesting of the share awards originally granted to Peter Couch in December 2007, we write to advise that 26,510 shares were transferred on 12 December 2010 to Peter Couch from shares held by The Grainger Trust Employee Trustee Ltd ("The Employee Trustee Company"), a wholly owned subsidiary of Grainger plc.

Following this transfer Peter Couch's holding has increased to 115,049 shares, representing 0.03% of Grainger's issued share capital.

In addition on 15 December 2010 a further 20,293 shares were transferred from The Employee Trustee Company to an employee pursuant to a share award granted in December 2008, which transfer reduces the shares held by the Employee Trustee Company to NIL.
