Under the terms of the Grainger plc 2007 Long Term Incentive Plan, the following director of Grainger plc ('the Company') was, on 8 December 2009 awarded the following conditional share interests in the ordinary share capital of the Company.

He was also granted conditional nil cost options in conjunction with the grant of the share interest over such number of shares which at vesting have a market value equal to the initial value of the shares comprised in the share interests.
