Director/PDMR shareholding
On 1 April 2016 the Company announced that a Director of the Company, Paul De Gruchy, had dealt in a same value transfer of his entire holding of GCP Infrastructure OEIC Limited (the "OEIC") Ordinary Redeemable Accumulation Shares ("OEIC Shares"), into the Company's Ordinary Shares, on 31 March 2016.
The Company hereby confirms that the amount of Ordinary Shares received by Mr De Gruchy as determined in accordance with the redemption provisions applicable to the OEIC is 439,779.

The above figures have been calculated using the Company's latest total voting rights figure of 594,599,568.
Paul De Gruchy is a Director of the Company. Accordingly the Company is treating him as a PDMR. This disclosure is made as a consequence of the wind-up of the OEIC and the option to elect for an in specie redemption of OEIC Shares held as at 31 March 2016 into Ordinary Shares.
