Director / PDMR Shareholding
On 10 February 2016 (the "Grant Date") Matchtech Group PLC (the "Company") granted the following conditional Share Awards over ordinary shares in the Company to its Executive Directors under the Matchtech Group PLC 2006 Long-Term Incentive Plan (the "LTIP"):

The LTIP award is a conditional grant of shares, which only vests and becomes exercisable on the third anniversary of the Grant Date, subject to the Executive Director continuing to hold an office or employment within the Company and the achievement of an earnings per share target over the three year period.
No consideration was paid for the grant of the Share Awards.
The Company also announces that on 12 February 2016 Chief Financial Officer, Tony Dyer exercised in part and sold 15,000 ordinary shares of 1 pence each in the Company which had previously vested under the LTIP at 420 pence per share.
Mr and Mrs Dyer's total interest in the Company remains at 309,954 shares, 1.01% of the Company's issued share capital.
