G3 Exploration Ltd. (LSE: G3E), an independent specialist in the exploration and development of coal bed methane gas (CBM) with roots in China and a focus on international expansion, is pleased to nominate Bryan Smart and Zhao Li Guo as Non-Executive Directors of the Company.
Following the Company's Annual General Meeting, which is being held on 30th July 2018 at 10.00 a.m., at the offices of FTI Consulting, 200 Aldersgate, Aldersgate Street, London EC1A 4HD, the G3E Board is expected to be comprised of Independent Non-Executive Directors, Wayne Roberts, Gong Da Bing, Bryan Smart, Zhao Li Guo and Executive Chairman Randeep S. Grewal. David Turnbull and Stewart John are due to retire from the Board.
The Audit Committee will consist of Bryan Smart, Wayne Roberts and Zhao Li Guo with Bryan Smart acting as the Chair of the Committee. The Remuneration Committee consists of Gong Da Bing, Bryan Smart and Randeep S. Grewal with Gong Da Bing acting as the Chair of the Remuneration Committee. The Nomination Committee will consist of Randeep S. Grewal, Wayne Roberts and Gong Da Bing with Randeep S. Grewal acting as the Chair of the Nomination Committee.
Background on Bryan Smart and Zhao Li Guo
Bryan Smart is a Chartered Accountant with over 40 years' experience in finance both in professional and commercial roles at various organisations including Deloitte and Mercedes Benz UK where he served as Chief Financial Officer. He currently holds Non-Executive Director roles at AB Dynamics plc, a company that designs and manufactures robotic test equipment for the automotive industry and at NQ Minerals plc, an Australian exploration and mining company. Furthermore, Mr. Smart is also a Non-Executive Director at Greka Drilling, which is an affiliate company of G3E, focused on providing drilling services in China and India. Mr. Smart has also served on the Board of Brunel University, and is currently a trustee of Brooklands Museum.
Zhao Li Guo was the General Counsel of China National Offshore Oil Company (CNOOC) from 2008, and CNOOC Limited from 2009 to June 2015. Mr. Zhao joined CNOOC in 1983 and has served in multiple positions, including the Head of Contract Division from 1993 to1997, Deputy General Manager of Contract & Legal Department from 1998 to 2000 and General Manager of Legal Department from 2001 to 2009.
Furthermore, Mr. Zhao was the Director and Board Secretary of CNOOC & Shell Petrochemicals Co Ltd. from 2001 to 2012. Mr. Zhao was also the arbitrator of China International Economic & Trade Arbitration Commission from 2005 to 2015 and a member of China Maritime Arbitration Commission from 2010 to 2015, the Arbitrator of China Maritime Arbitration Commission from 2017. Mr. Zhao obtained PRC lawyer qualification in 1987, a corporate counsel qualification in 1998 and is a professor-level senior economist. He obtained a bachelor of law degree from Peking University in 1983. He also studied at the Law School of Niigata University in Japan for a year in 1988.
Mr. Randeep S. Grewal, Chairman and CEO of G3E said: "We are delighted to nominate Li Guo and Bryan to the G3E Board.
