The following announcement replaces RNS announcement 1712Q following an amendment to the number of shares allotted from 1,861,273 ordinary shares in the original announcement to 1,849,569 ordinary shares in this replacement announcement.

Replacement - Allotment of Ordinary Shares
The Board of Foresight VCT is pleased to announce that in accordance with the terms of the Offer for Subscription dated 17 October 2008 (the "Offer") that 1,849,569 Ordinary Shares of 1 pence each in Foresight VCT plc were allotted on 5 April 2009 at 44.0 pence per share.
Application has been made for the admission of the 1,849,569 Ordinary Shares of 1 pence each in Foresight VCT plc to the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's market for listed securities.
Total shares allotted to date under the Offer by the Company now total 2,964,070 Ordinary Shares. Following this allotment there are now 48,902,861 Ordinary Shares of 1p each in issue.
