The Company posted to shareholders on 16 July 2018 a tender offer document (Tender Offer Document) in respect of a tender offer to purchase shares in the Company (Shares) having an aggregate value at the tender price of up to £5 million (Tender Offer). Terms used in this announcement shall have the same meaning as in the Tender Offer Document.

The latest published NAV per Share is 69.4p (being the unaudited NAV per share as at 31 August 2018). Accordingly, the Tender Price will be 64.1950p per Share (92.5% of the most recently published NAV per Share as at the date of the purchase under the Tender Offer, rounded down to four decimal places). The Basic Entitlement Percentage is, therefore, 5.5304812% (rounded).

The results of the Tender Offer are as follows:

Total number of Shares in issue as at the Record Date: 140,833,459

Shares tendered for the Basic Entitlement: 1,488,073

Shares tendered for more than the Basic Entitlement: 11,259,416

Shares not tendered for the Basic Entitlement (i.e. excess available): 6,300,695

Total number of Shares tendered: 12,747,489

Shareholders who tendered in excess of the Basic Entitlement will have approximately 55.96% of their excess satisfied (rounded down) resulting in 6,300,695 Shares being tendered under the excess available.

The Tender Offer is expected to be completed today with a total of 7,788,768 Shares to be purchased by the Company for cancellation for an aggregate price of £4,999,999.62. Following completion of the Tender Offer, 133,044,691 Shares will be in issue.

CREST accounts of shareholders who hold their Shares in CREST are expected to be credited and updated by 24 September 2018. Cheques and balancing Share certificates in respect of shareholders who do not hold their Shares in CREST are also expected to be dispatched by 24 September 2018.
