Total Voting Rights

Issue of Equity in relation to Deferred Consideration

Toumaz Limited (AIM: TMZ, 'Toumaz' or 'the Company') announces that pursuant to the terms of the Acquisition Agreement (as defined in the Company's announcement of 3 July 2012), Toumaz has issued 1,853,432 new ordinary shares of 0.25p each ("Ordinary Shares") in settlement of deferred consideration due under the Acquisition Agreement.

The Company has applied for these 1,853,432 new Ordinary Shares ("New Shares") to be admitted to trading on AIM, which is expected to occur on 20th August 2015.

Following the admission to trading of the New Shares, Toumaz will have a total issued share capital of 1,704,779,379 Ordinary Shares.

There are 105,300,174 Ordinary Shares held jointly by the Employee Benefit Trust and participants for the purposes of the Company's joint share ownership plan in relation to which all voting rights have been waived.

Therefore, the total number of voting rights in the Company is 1,599,479,205. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company, under the FCA's Disclosure and Transparency Rules.
