James Fisher and Sons plc ("the Company")

Director Shareholding

Notification made in accordance with Disclosure Rule 3.1.4R (1) (a) of Disclosure and Transparency Rules and paragraph 26 of the Model Code.

The Company was notified on 21 March 2014 that on that date Mr Charles Rice, the Chairman of the Company, purchased 1,281 Ordinary Shares of 25p each in the Company pursuant to a Trading Plan entered into on 7 March 2013 with Investec Bank plc. The price paid for the shares was 1530p per share.

Following this transaction Mr Rice has a beneficial interest in the Company's issued ordinary share capital of 13,503 Ordinary Shares representing 0.027 per cent of the Company's total issued ordinary share capital.
