SHARE BUYBACK PROGRAMME
The Company announces that it has instructed Liberum Capital Limited in relation to an irrevocable, non-discretionary share buyback programme to purchase the Company's shares during the forthcoming closed period, which commences on 8 November 2021 and will end on the day the Company reports its half year results (the "Closed Period Programme").
As previously announced, the aggregate purchase price of all shares acquired from 4th October 2021 to the day the Company reports its half year results will be no greater than £70,000,000. The maximum number of shares that may be purchased between 4th October 2021 to the day the Company reports its half year results will be 10,000,000 ordinary shares.
The purpose of the Closed Period Programme is to reduce the share capital of the Company.
The Closed Period Programme will be conducted within certain pre-set parameters, and in accordance with the general authority to repurchase shares granted by the Company's shareholders at the 2021 annual general meeting, Chapter 12 of the UK Listing Authority Listing Rules and the provisions of the Market Abuse Regulation 596/2014/EU dealing with buyback programmes. The shares repurchased by the Company will be held in treasury pending cancellation or re-issue.
