Proposed placing to raise gross proceeds of at least GBP 50 million

Highlights

 

fastjet Plc (AIM: FJET) (the Group or the Company), an African low-cost airline, is pleased to announce its intention to conduct a placing to raise gross proceeds of at least GBP 50 million (approximately USD 75 million) through the issue of new ordinary shares at GBP 1p per share (the Placing Price)(the Placing). The completion of the Placing is conditional upon inter alia gross proceeds of at least GBP 50 million (approximately USD 75 million) being raised pursuant to the Placing, the approval of shareholders in a general meeting of the Company (the General Meeting) and admission of the ordinary shares placed pursuant to the Placing (the Placing Shares) to trading on AIM (Admission). Further details regarding the Placing are set out below and in the Appendix to this Announcement.

 

The Placing is being conducted, other than in relation to the Republic of South Africa (in respect of which see further below), principally by way of an accelerated book-building process (Accelerated Book-Build) which will be launched immediately following this Announcement.

 

Liberum Capital Limited (Liberum) is acting as global co-ordinator (the Global Co-ordinator) and Liberum and WH Ireland Limited (WH Ireland) are acting as joint bookrunners (the Joint Bookrunners) on the Placing. In relation to the Republic of South Africa, Sanlam Securities UK Limited (Sanlam Securities) is acting as broker on the Placing. The Placing is not being underwritten.

 

The approval being sought from shareholders of the Company at the General Meeting in respect of the Placing includes a share consolidation (the Share Consolidation) based on every 100 existing ordinary shares of nominal value 1p each (Existing Ordinary Shares) being consolidated into 1 new ordinary share of GBP 1 (New Ordinary Share). Other than a change in nominal value, the New Ordinary Shares will carry equivalent rights under the Articles of Association to the Existing Ordinary Shares. On a consolidated pro forma basis, the Placing Price equates to GBP 1 per Placing Share. Further information regarding the Share Consolidation is set out below.

 

Background to the Placing

 

fastjet is the holding company of fastjet Airlines Limited (Tanzania), a low-cost airline which operates flights under the fastjet brand in Tanzania using a fleet of three A319 aircraft. By adhering to international standards of safety, security, quality and reliability, fastjet has brought a new flying experience to the African market at low prices. fastjet's long-term strategy is to become the Continent's most successful pan-African low-cost airline. fastjet is also the holding company of Fly540 Ghana and Fly540 Angola.

 

The fastjet low cost airline was launched in Tanzania on 29 November 2012. It carried more than 350,000 passengers in the first year of operations and sold one million seats by December 2014. Comparing 2014 with 2013, passengers flown increased by 63 per cent, capacity rose by 62 per cent and load factor increased by one percentage point to 73 per cent. During the same period, the average revenue per passenger including ancillary sales increased by 27 per cent. fastjet currently has three domestic routes operating in Tanzania linking Dar es Salaam with Mwanza, Kilimanjaro and Mbeya, and four international routes from Dar es Salaam to Johannesburg, Harare, Entebbe and Lusaka.

 

fastjet's Tanzanian operation, which comprises a well-recognised brand name and both domestic and international routes, means that it is now well placed to further develop its existing Tanzanian operations. The current fleet of three aircraft is now almost fully utilised and growth opportunities will require increased numbers of aircraft over the remainder of 2015. This will enable fixed overhead costs to be further spread over a larger operation.

 

In December 2014, fastjet Tanzania achieved its first profitable month of operations, which was a major milestone for the Company. The key contributors to this were the maximisation of fleet capacity and improved revenue per passenger. Further contributors, on a smaller scale, were load factor (the number of "passengers" as a percentage of the number of available seats flown) and a reduction in aviation fuel cost.

 

Building on the success of the Tanzanian operation, fastjet plans to roll out the model across the African Continent. The airline has identified five countries - Kenya, Uganda, Zambia, Zimbabwe and South Africa - as key markets for expansion of its business plan.

 

Reasons for the Placing and use of proceeds

 

fastjet is looking to raise at least GBP 50 million (approximately USD 75 million) (before expenses) by way of the Placing. The net proceeds of the fundraising will be deployed in two key areas - expansion working capital and the acquisition of aircraft.

 

There is a working capital requirement to fund further expansion and the launch and growth of operations in Zambia, Zimbabwe, Kenya and South Africa. This will be sufficient to build a sizeable operation in each country.

 

fastjet will use funds raised in excess of that needed for its working capital requirements to commence an acquisition programme of used Airbus A319 aircraft.

 

Current Trading and Outlook

 

Trading for the year ended 31 December 2014 was broadly in line with market expectations. The results for the year are expected to be published in Q2, 2015, following completion of the audit process. Growth for 2015 is expected to come both from existing routes from our Tanzania base and the addition of new fastjet operations in Zambia and Zimbabwe.

 

Interim Chairman

 

The Company is pleased to announce that Clive Carver, previously non-executive Director, has been appointed as interim non-executive Chairman with immediate effect. Clive will take the lead in finding an appropriate long-term non-executive Chairman for the next stage in the Company's development.

 

Incentives

 

With the Company now in a position to move on to the next phase of its growth and, the firm capital base to be established as a result of the Placing, the Board has concluded that it is now an appropriate time to establish a suitable structure for employee and director share incentives. The Company intends to adopt share plans to be used to incentivise and retain Directors and employees following the Placing. The plans will, in aggregate, have a dilution limit of no more than 10 per cent of the issued ordinary share capital of the Company, from time to time, that should be issued or issuable under all share incentive schemes operated by the Group in any rolling ten-year period.

 

The Company will, conditional on the completion of the Placing, make awards for 5 per cent of the enlarged share capital (being the issued share capital of the Company following the Placing) immediately following the Placing. Notifications relating to the share option awards will be made available in due course.

 

Details of the Placing

 

The Placing is being conducted, other than in relation to the Republic of South Africa (in respect of which see further below), principally by way of an Accelerated Book-Build led by Liberum as Global Co-Ordinator and Liberum and WH Ireland Limited as Joint Bookrunners. In relation to the Republic of South Africa, Sanlam Securities has been engaged by the Company as broker to the South Africa market.

 

Details of the number of Placing Shares and gross proceeds will be announced as soon as practicable after the close of the book-building process.

 

The books for the Accelerated Book-Build will open with immediate effect. The books are expected to close no later than 1 pm (London) today. The timing of the closing of the books and the making of allocations may be accelerated or delayed at the Joint Bookrunners' sole discretion. The Appendix to this Announcement contains the detailed terms and conditions of the Accelerated Book-Build. The Placing is not being underwritten by Liberum, WH Ireland, Sanlam Securities (together the Brokers) or any other person.

 

Qualifying investors who are invited, and who choose, to participate in the Accelerated Book-Build by making an oral and legally binding offer to acquire Placing Shares, will be deemed to have read and understood this Announcement in its entirety, including the Appendix, and to be making such offer on the terms and subject to the conditions contained herein and to be making the representations, warranties, undertakings and acknowledgements contained in the Appendix to this Announcement.

 

The Placing Shares will be issued credited as fully paid and will rank pari passu with the Existing Ordinary Shares, including the right to receive all dividends and other distributions (if any) declared, made or paid on or in respect of such shares after the date of their issue. 

 

The Company has entered into a placing agreement (the Placing Agreement) with the Brokers on customary terms and conditions pursuant to which the Brokers have conditionally agreed, as agents for the Company, to use their reasonable endeavours to procure Placees for the Placing Shares at the Placing Price.

 

Your attention is drawn to the detailed terms and conditions of the Placing described in the Appendix to this announcement (which forms part of this announcement) (together, the Announcement).

 

Details of the Share Consolidation

 

As referred to above, the approval being sought from shareholders of the Company at the General Meeting in respect of the Placing includes the Share Consolidation based on every 100 Existing Ordinary Shares being consolidated into 1 New Ordinary Share.

 

Where a shareholder's holding of Existing Ordinary Shares either comprises less than 100 Existing Ordinary Shares or is not a multiple of 100 all such fractional entitlements that would otherwise arise in respect of shareholders' holdings of Existing Ordinary Shares will be aggregated and consolidated into New Ordinary Shares and will be sold for the benefit of the Company.

 

As a consequence of the Share Consolidation each shareholder's holding of New Ordinary Shares will, (ignoring fractional entitlements) immediately following the Share Consolidation becoming effective, be one hundredth of the number of Existing Ordinary Shares held by them on the record date for the Share Consolidation (being 20 April 2015). However, each shareholder's proportionate interest (save for fractional entitlements) in the Company's issued ordinary share capital (before the issue of the Placing Shares) will remain substantially unchanged as a result of the proposed Share Consolidation. Other than a change in nominal value, the New Ordinary Shares will carry equivalent rights under the Articles of Association to the Existing Ordinary Shares.

 

As a result of the Share Consolidation, application will be made for admission of the New Ordinary Shares to trading on AIM. It is expected that settlement of the New Ordinary Shares and Admission will become effective at 8 am on or around 21 April 2015 and that dealings in the New Ordinary Shares will commence at that time.

 

Settlement and Admission of Placing Shares

 

Application will be made for admission of the Placing Shares to trading on AIM. It is expected that settlement of any such shares and Admission will become effective at 8 am on or around 22 April 2015 and that dealings in the Placing Shares will commence at that time.

 

Settlement by Placees in respect of the Placing Shares shall be in GBP. All USD figures stated in this Announcement including the Appendix are for illustrative purposes only and are calculated at an exchange rate of USD 1.5 to GBP 1.

 

Following successful completion of the Placing, Liberum will be appointed as joint broker to the Company.

The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the Existing Ordinary Shares, including the right to receive all dividends and other distributions (if any) declared, made or paid on or in respect of the Ordinary Shares after the date of issue of the Placing Shares.

 

Application for admission to trading

Application will be made for admission of the Placing Shares to trading on AIM. It is expected that settlement of any such shares and Admission will become effective on or around 8.00am on 22 April 2015 and that dealings in the Placing Shares will commence at that time.

 

Accelerated Book-Build

The Joint Bookrunners will today commence an accelerated bookbuilding process in respect to the Placing to determine demand for participation in the Placing by any Placees at the Placing Price. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Accelerated Book-Build. No commissions will be paid to Placees or by Placees in respect of any Placing Shares.

 

The Joint Bookrunners and the Company shall be entitled to effect the Placing (in whole or in part) by such alternative method to the Accelerated Book-Build as they may, in their sole discretion, determine.

 

Participation in, and principal terms of, the Placing

1. Each of the Joint Bookrunners is arranging the Accelerated Book-Build and Placing as an agent of the Company.

 

2. Participation in the Accelerated Book-Build will only be available to persons who may lawfully be, and are, invited to participate by either of the Joint Bookrunners. Each of the Joint Bookrunners and its respective affiliates are entitled to enter bids in the Accelerated Book-Build as principal.

 

3. The Accelerated Book-Build will establish the number of Placing Shares to be issued at the Placing Price, which will be agreed between the Joint Bookrunners and the Company following completion of the Accelerated Book-Build. The number of Placing Shares will be announced on a Regulatory Information Service following the completion of the Accelerated Book-Build.

 

4. To bid in the Accelerated Book-Build, prospective Placees should communicate their bid by telephone to their usual sales contact at Liberum or WH Ireland (as the case may be). Each bid should state the number of Placing Shares which the prospective Placee wishes to subscribe for at the Placing Price. Bids may be scaled down by the Joint Bookrunners on the basis referred to paragraph 8 below.

 

5. The Accelerated Book-Build is expected to close no later than 1 pm (London) today but may be closed earlier or later at the discretion of the Joint Bookrunners. The Joint Bookrunners may, in agreement with the Company, accept bids that are received after the Accelerated Book-Build has closed.

 

6. Each Placee's allocation will be confirmed to Placees orally, or by email, by the Joint Bookrunner whom they contact (the applicable Joint Bookrunner) following the close of the Accelerated Book-Build and a trade confirmation or contract note will be dispatched as soon as possible thereafter. An applicable Joint Bookrunner's oral or emailed confirmation to such Placee will constitute an irrevocable legally binding commitment upon such person (who will at that point become a Placee) in favour of the applicable Joint Bookrunner and the Company, under which it agrees to subscribe for the number of Placing Shares allocated to it at the Placing Price on the terms and conditions set out in this Appendix (which are deemed to be incorporated in such trade confirmation or contract note) and in accordance with the Company's Articles of Association.

 

7. The Company will make a further announcement following the close of the Accelerated Book-Build detailing the number of Placing Shares to be issued at the Placing Price.

 

8. Subject to paragraphs 4 and 5 above, the Joint Bookrunners may choose to accept or reject bids, either in whole or in part, on the basis of allocations determined at their discretion (in consultation with the Company) and may scale down any bids for this purpose on such basis as they may determine. The Joint Bookrunners may also, notwithstanding paragraphs 4 and 5 above, subject to the prior consent of the Company (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time and (ii) allocate Placing Shares after the Accelerated Book-Build has closed to any person submitting a bid after that time.

 

9. A bid in the Accelerated Book-Build will be made on the terms and subject to the conditions in this Announcement and will be legally binding on the Placee on behalf of which it is made and, except with the consent of the applicable Joint Bookrunner, will not be capable of variation or revocation after the time at which it is submitted. Each Placee will also have an immediate, separate, irrevocable and binding obligation, owed to the applicable Joint Bookrunner, to pay to such Joint Bookrunner (or as such Joint Bookrunner may direct) in cleared funds an amount equal to the product of the Placing Price and the number of Placing Shares for which such Placee has agreed to subscribe. Each Placee's obligations will be owed to the applicable Joint Bookrunner.

 

10. Except as required by law or regulation, no press release or other announcement will be made by the Joint Bookrunners or the Company using the name of any Placee (or its agent), in its capacity as Placee (or agent), other than with such Placee's prior written consent.

 

11. Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement".

 

12. All obligations under the Accelerated Book-Build and Placing will be subject to fulfilment of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Right to terminate under the Placing Agreement".

 

13. By participating in the Accelerated Book-Build, each Placee agrees that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee.

 

14. To the fullest extent permissible by law and the applicable rules of the Financial Conduct Authority (FCA), neither WH Ireland, nor Liberum nor any of their respective affiliates shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise whether or not a recipient of these terms and conditions) in respect of the Placing. Each Placee acknowledges and agrees that the Company is responsible for the allotment of the Placing Shares to the Placees and the Joint Bookrunners shall have no liability to the Placees for the failure of the Company to fulfil those obligations. In particular, neither WH Ireland nor Liberum nor any of their respective affiliates shall have any liability (including to the extent permissible by law, any fiduciary duties) in respect of the Joint Bookrunners conduct of the Accelerated Book-Build or of such alternative method of effecting the Placing (in whole or in part) as the Joint Bookrunners (or any one of them) and the Company may agree.

 

Conditions of the Placing

Completion of the Placing is conditional on, inter alia:

 

(a) gross proceeds of at least £50 million being raised;

 

(b) The approval of shareholders in a general meeting of the Company;

 

(c) Admission taking place not later than 8 am on 22 April 2015;

 

(d) All document required to be submitted in connection with Admission being delivered to the London Stock Exchange in accordance with the AIM Rules for Companies;

 

(e) The Company being in compliance in all material respects with its obligations under the Placing Agreement;

 

(f) None of the warranties in the Placing Agreement being untrue, inaccurate or misleading.

 

If: (i) any of the conditions contained in the Placing Agreement in relation to the Placing Shares are not fulfilled or waived by the Joint Bookrunners by the respective time or date where specified (or such later time or date as the Company and the Joint Bookrunners may agree, but not being later than 8 am on 15 May 2015); (ii) any of such conditions becomes incapable of being fulfilled; or (iii) the Placing Agreement is terminated in its entirety (i.e., with no step-in rights being exercised by either of the Joint Bookrunners) in the circumstances specified below, the Placing will lapse and the Placee's rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee in respect thereof.

 

The Joint Bookrunners may, at their discretion and upon such terms as they think fit, waive, or extend the period for, compliance by the Company with the whole or any part of any of the Company's obligations in relation to the conditions in the Placing Agreement save that the above condition relating to Admission taking place may not be waived. Any such extension or waiver will not affect Placees' commitments as set out in this Announcement.

 

Neither WH Ireland, nor Liberum, nor the Company shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision they may make as to whether or not to waive or to extend the time and/or date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of the Joint Bookrunners.

 

Right to terminate under the Placing Agreement

Each of the Joint Bookrunners is entitled, at any time before Admission, to terminate its obligations under the Placing Agreement by giving notice to the Company in certain circumstances, including, inter alia:

 

(a) a material breach of the warranties given by the Company in the Placing Agreement; or

 

(b) a material breach by the Company of any of its obligations under the Placing Agreement; or

 

(c) in such Joint Bookrunner's opinion, there having been a material adverse change in the financial position, business or prospects of the Group; or

 

(d) the occurrence of a force majeure event which, in the opinion of such Joint Bookrunner, makes it impractical or inadvisable to proceed with the Placing.

 

In the event that one of the Joint Bookrunners exercises it's right to terminate its obligations under the Placing Agreement and the other elects not to so terminate (the non-terminating Joint Bookrunner), the non-terminating Joint Bookrunner shall be permitted to proceed to completion of the Placing in respect of the Placees procured by them subject to the condition being satisfied that gross proceeds of at least £50 million are raised.

 

Following Admission, the Placing Agreement is not capable of termination to the extent that it relates to the Placing of the Placing Shares. The rights and obligations of the Placees shall terminate only in the circumstances described in these terms and conditions and will not be subject to termination by the Placee or any prospective Placee at any time or in any circumstances. By participating in the Placing, Placees agree that the exercise by any Joint Bookrunner of any right of termination or other discretion under the Placing Agreement shall be within the absolute discretion of the Joint Bookrunner or Joint Bookrunners (as the case maybe), and that it need not make any reference to Placees and that it shall have no liability to Placees whatsoever in connection with any such exercise.

 

No Prospectus

The Placing Shares are being offered to a limited number of specifically invited persons only and will not be offered in such a way as to require a prospectus in the United Kingdom or in any other jurisdiction. No offering document, admission document or prospectus has been or will be submitted to be approved by the FCA in relation to the Placing, and any Placees' commitments will be made solely on the basis of the information contained in the Announcement (including this Appendix) and the Exchange Information (as defined further below). Each Placee, by accepting a participation in the Placing, agrees that the content of this Announcement is exclusively the responsibility of the Company and confirms that it has neither received nor relied on any other information (other than the Exchange Information), representation, warranty, or statement made by or on behalf of the Company or any of the Brokers or any other person and neither of the Joint Bookrunners nor the Company nor any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received and, if given or made, such information, representation, warranty or statement must not be relied upon as having been authorised by any of the Joint Bookrunners, the Company, or their respective officers, directors, employees or agents. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of the Company in accepting a participation in the Placing. Neither the Company, nor any of the Joint Bookrunners are making any undertaking or warranty to any Placee regarding the legality of an investment in the Placing Shares by such Placee under any legal, investment or similar laws or regulations. Each Placee should not consider any information in this Announcement to be legal, tax or business advice. Each Placee should consult its own solicitor, tax adviser and financial adviser for independent legal, tax and financial advice regarding an investment in the Placing Shares. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation.

 

Registration and Settlement

Settlement of transactions in the Placing Shares (ISIN: GB00BWGCH354) following Admission will take place within the system administered by Euroclear UK & Ireland Limited (CREST) provided that, subject to certain exceptions, the Joint Bookrunners reserve the right to require settlement for, and delivery of, the Placing Shares (or a portion thereof) to Placees by such other means that they deems necessary if delivery or settlement is not possible or practicable within CREST within the timetable set out in this Announcement or would not be consistent with the regulatory requirements in any Placee's jurisdiction.

 

Following the close of the Accelerated Book-Build, each Placee allocated Placing Shares in the Placing will be sent a trade confirmation or contract note in accordance with the standing arrangements in place with the applicable Joint Bookrunner, stating the number of Placing Shares allocated to it at the Placing Price, the aggregate amount owed by such Placee to such Joint Bookrunner (in GBP) and settlement instructions. Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with either the standing CREST or certificated settlement instructions that it has in place with the applicable Joint Bookrunner.

 

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by the applicable Joint Bookrunner.

 

Each Placee is deemed to agree that, if it does not comply with these obligations, the applicable Joint Bookrunner may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for the applicable Joint Bookrunner's account and benefit (as agent for the Company), an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax or securities transfer tax (together with any interest or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf. By communicating a bid for Placing Shares, each Placee confers on the applicable Joint Bookrunner all such authorities and powers necessary to carry out any such sale and agrees to ratify and confirm all actions which the applicable Joint Bookrunner lawfully takes in pursuance of such sale.

 

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation or contract note is copied and delivered immediately to the relevant person within that organisation.

 

Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax or securities transfer tax. Placees will not be entitled to receive any fee or commission in connection with the Placing.

 

Representations, Warranties and Further Terms

By participating in the Placing each Placee (and any person acting on such Placee's behalf) makes the following representations, warranties, acknowledgements, agreements and undertakings (as the case may be) to the Company and the Joint Bookrunners:

 

1. represents and warrants that it has read and understood this Announcement, including the Appendix, in its entirety and that its subscription for Placing Shares is subject to and based upon all the terms, conditions, representations, warranties, acknowledgements, agreements and undertakings and other information contained herein and undertakes not to redistribute or duplicate this Announcement;

 

2. acknowledges that no offering document, admission document or prospectus has been prepared in connection with the Placing and represents and warrants that it has not received and will not receive a prospectus, admission document or other offering document in connection therewith;

 

3. acknowledges that the Ordinary Shares are admitted to trading on AIM, and the Company is therefore required to publish certain business and financial information in accordance with the AIM Rules (collectively Exchange Information);

 

4. acknowledges that none of Liberum, WH Ireland, the Company, any of their respective affiliates or any person acting on behalf of any of them has provided, and will not provide it, with any material regarding the Placing Shares or the Company other than this Announcement; nor has it requested any of Liberum, WH Ireland, the Company, any of their respective affiliates or any person acting on behalf of any of them to provide it with any such information;

11. unless otherwise specifically agreed in writing with Liberum or WH Ireland, represents and warrants that neither it nor the beneficial owner of such Placing Shares will be a resident of the United States, Australia, Canada, Japan or the Republic of South Africa;

 

12. acknowledges that the Placing Shares have not been and will not be registered under the securities legislation of the United States, Australia, Canada, Japan or the Republic of South Africa and, subject to certain exceptions, may not be offered, sold, taken up, renounced or delivered or transferred, directly or indirectly, within those jurisdictions;

 

13. represents and warrants that the issue to it, or the person specified by it for registration as holder, of Placing Shares will not give rise to a liability under any of sections 67, 70, 93 or 96 of the Finance Act 1986 (depositary receipts and clearance services) and that the Placing Shares are not being acquired in connection with arrangements to issue depositary receipts or to transfer Placing Shares into a clearance system;

 

14. represents and warrants that: (i) it has complied with its obligations in connection with money laundering and terrorist financing under the Proceeds of Crime Act 2002, the Terrorism Act 2000 (as amended), the Terrorism Act 2006 and the Money Laundering Regulations 2007 and (ii) it is not a person: (a) with whom transactions are prohibited under the Foreign Corrupt Practices Act of 1977 or any economic sanction programmes administered by, or regulations promulgated by, the Office of Foreign Assets Control of the U.S. Department of the Treasury; (b) named on the Consolidated List of Financial Sanctions Targets maintained by HM Treasury of the United Kingdom; or (c) subject to financial sanctions imposed pursuant to a regulation of the European Union or a regulation adopted by the United Nations (together, the Regulations); and, if making payment on behalf of a third party, that satisfactory evidence has been obtained and recorded by it to verify the identity of the third party as required by the Regulations and, if making payment on behalf of a third party, that satisfactory evidence has been obtained and recorded by it to verify the identity of the third party as required by the Regulations and has obtained all governmental and other consents (if any) which may be required for the purpose of, or as a consequence of, such purchase, and it will provide promptly to the applicable Joint Bookrunner such evidence, if any, as to the identity or location or legal status of any person which the applicable Joint Bookrunner may request from it in connection with the Placing (for the purpose of complying with such Regulations or ascertaining the nationality of any person or the jurisdiction(s) to which any person is subject or otherwise) in the form and manner requested by the applicable Joint Bookrunner on the basis that any failure by it to do so may result in the number of Placing Shares that are to be purchased by it or at its direction pursuant to the Placing being reduced to such number, or to nil, as the applicable Joint Bookrunner may decide at its sole discretion;

 

15. if a financial intermediary, as that term is used in Article 3(2) of the Prospectus Directive, represents and warrants that the Placing Shares purchased by it in the Placing will not be acquired on a non-discretionary basis on behalf of, nor will they be acquired with a view to their offer or resale to, persons in a Member State of the European Economic Area which has implemented the Prospectus Directive other than Qualified Investors, or in circumstances in which the prior consent of the Joint Bookrunners has been given to the offer or resale;

 

16. represents and warrants that it has not offered or sold and, prior to the expiry of a period of six months from Admission, will not offer or sell any Placing Shares to persons in the United Kingdom, except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted and which will not result in an offer to the public in the United Kingdom within the meaning of section 85(1) of the Financial Services and Markets Act 2000 (FSMA);

 

17. represents and warrants that it has not offered or sold and will not offer or sell any Placing Shares to persons in the European Economic Area prior to Admission except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted in and which will not result in an offer to the public in any member state of the European Economic Area within the meaning of the Prospectus Directive;

 

18. represents and warrants that it has only communicated or caused to be communicated and will only communicate or cause to be communicated any invitation or inducement to engage in investment activity (within the meaning of section 21 of the FSMA) relating to the Placing Shares in circumstances which do not require the approval of the communication by an authorised person under section 21(1) of the FSMA;

 

19. represents and warrants that it has complied and will comply with all applicable provisions of the FSMA with respect to anything done by it in relation to the Placing Shares in, from or otherwise involving, the United Kingdom;

 

20. if in a Member State of the European Economic Area, unless otherwise specifically agreed with WH Ireland in writing, represents and warrants that it is a Qualified Investor within the meaning of the Prospectus Directive;

 

21. if in the United Kingdom, represents and warrants that it is a person: (i) who is an investment professionals within the meaning of article 19(5) of the Order; (ii) who falls within Article 49(2)(A) to (D) ("High Net Worth Companies, Unincorporated Associations, etc") of the Order; or (iii) to whom this Announcement may otherwise be lawfully communicated;

 

22. represents and warrants that it and any person acting on its behalf is entitled to acquire the Placing Shares under the laws of all relevant jurisdictions and that it has all necessary capacity and has obtained all necessary consents and authorities and taken any other necessary actions to enable it to commit to this participation in the Placing and to perform its obligations in relation thereto (including, without limitation, in the case of any person on whose behalf it is acting, all necessary consents and authorities to agree to the terms set out or referred to in this Announcement) and will honour such obligations;

 

23. where it is acquiring Placing Shares for one or more managed accounts, represents and warrants that it is authorised in writing by each managed account: (a) to acquire the Placing Shares for each managed account; (b) to make on its behalf the representations, warranties, acknowledgements, undertakings and agreements in this Appendix and the Announcement of which it forms part; and (c) to receive on its behalf any investment letter relating to the Placing in the form provided to you by the applicable Joint Bookrunner;

 

24. undertakes that it (and any person acting on its behalf) will make payment for the Placing Shares allocated to it in accordance with this Announcement on the due time and date set out herein, failing which the relevant Placing Shares may be placed with other subscribers or sold as the applicable Joint Bookrunner may in its sole discretion determine and without liability to such Placee and it will remain liable for any shortfall below the net proceeds of such sale and the placing proceeds of such Placing Shares and may be required to bear the liability for any stamp duty or stamp duty reserve tax or security transfer tax (together with any interest or penalties due pursuant to or referred to in these terms and conditions) which may arise upon the placing or sale of such Placee's Placing Shares on its behalf;

 

25. acknowledges that none of Liberum, WH Ireland, its respective affiliates, or any person acting on behalf of any of them, is making any recommendations to it, advising it regarding the suitability of any transactions it may enter into in connection with the Placing and that participation in the Placing is on the basis that it is not and will not be treated for these purposes as a client of Liberum or WH Ireland and that Liberum and WH Ireland has no duties or responsibilities to it for providing the protections afforded to its clients or customers or for providing advice in relation to the Placing nor in respect of any representations, warranties, undertakings or indemnities contained in the Placing Agreement nor for the exercise or performance of any of its rights and obligations thereunder including any rights to waive or vary any conditions or exercise any termination right;

 

26. undertakes that the person whom it specifies for registration as the holder of the Placing Shares will be (i) itself or (ii) its nominee, as the case may be. None of Liberum, WH Ireland nor the Company will be responsible for any liability to stamp duty or stamp duty reserve tax resulting from a failure to observe this requirement. Each Placee and any person acting on behalf of such Placee agrees to participate in the Placing and it agrees to indemnify the Company, Liberum and WH Ireland in respect of the same on the basis that the Placing Shares will be allotted to the CREST stock account of WH Ireland who will hold them as nominee on behalf of such Placee until settlement in accordance with its standing settlement instructions;

 

27. acknowledges that these terms and conditions and any agreements entered into by it pursuant to these terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and it submits (on behalf of itself and on behalf of any person on whose behalf it is acting) to the exclusive jurisdiction of the English courts as regards any claim, dispute or matter arising out of any such contract, except that enforcement proceedings in respect of the obligation to make payment for the Placing Shares (together with any interest chargeable thereon) may be taken by the Company or Liberum or WH Ireland in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange;

 

28. acknowledges that time shall be of the essence as regards to obligations pursuant to this Appendix to the Announcement;

 

29. agrees that the Company, Liberum, WH Ireland and their respective affiliates and others will rely upon the truth and accuracy of the foregoing representations, warranties, acknowledgements and undertakings which are given to the Joint Bookrunners on their own behalf and on behalf of the Company and are irrevocable and are irrevocably authorised to produce this Announcement or a copy thereof to any interested party in any administrative or legal proceeding or official inquiry with respect to the matters covered hereby;

 

30. agrees to indemnify on an after-tax basis and hold the Company, Liberum, WH Ireland and their respective affiliates harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings in this Appendix and further agrees that the provisions of this Appendix shall survive after completion of the Placing;

 

31. acknowledges that no action has been or will be taken by any of the Company, Liberum, WH Ireland or any person acting on behalf of the Company or Liberum or WH Ireland that would, or is intended to, permit a public offer of the Placing Shares in any country or jurisdiction where any such action for that purpose is required;

 

32. acknowledges that it is an institution that has knowledge and experience in financial, business and international investment matters as is required to evaluate the merits and risks of subscribing for the Placing Shares. It further acknowledges that it is experienced in investing in securities of this nature and is aware that it may be required to bear, and it, and any accounts for which it may be acting, are able to bear, the economic risk of, and is able to sustain, a complete loss in connection with the Placing. It has relied upon its own examination and due diligence of the Company and its associates taken as a whole, and the terms of the Placing, including the merits and risks involved; and

 

33. acknowledges that its commitment to subscribe for Placing Shares on the terms set out herein and in the trade confirmation or contract note will continue notwithstanding any amendment that may in future be made to the terms of the Placing and that Placees will have no right to be consulted or require that their consent be obtained with respect to the Company's conduct of the Placing.

 

The representations, warranties, acknowledgments and undertakings contained in this Appendix are given to each of the Joint Bookrunners for itself and on behalf of the Company and are irrevocable.

 

The agreement to settle a Placee's subscription (and/or the subscription of a person for whom such Placee is contracting as agent) free of stamp duty and stamp duty reserve tax depends on the settlement relating only to a subscription by it and/or such person direct from the Company for the Placing Shares in question. Such agreement assumes that the Placing Shares are not being subscribed for in connection with arrangements to issue depositary receipts or to transfer the Placing Shares into a clearance service. If there are any such arrangements, or the settlement relates to any other subsequent dealing in the Placing Shares, stamp duty or stamp duty reserve tax may be payable, for which neither the Company nor Liberum nor WH Ireland will be responsible, and the Placee to whom (or on behalf of whom, or in respect of the person for whom it is participating in the Placing as an agent or nominee) the allocation, allotment, issue or delivery of Placing Shares has given rise to such UK stamp duty or stamp duty reserve tax undertakes to pay such UK stamp duty or stamp duty reserve tax forthwith and to indemnify on an after-tax basis and to hold harmless the Company and Liberum and WH Ireland in the event that any of the Company, Liberum and/or WH Ireland has incurred any such liability to UK stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify the Joint Bookrunners accordingly.

 

In addition, Placees should note that they will be liable for any stamp duty and all other stamp, issue, securities, transfer, registration, documentary or other duties or taxes (including any interest, fines or penalties relating thereto) payable outside the UK by them or any other person on the subscription by them of any Placing Shares or the agreement by them to subscribe for any Placing Shares.

 

Each Placee, and any person acting on behalf of the Placee, acknowledges that the Joint Bookrunners (or any one of them) do not owe any fiduciary or other duties to any Placee in respect of any representations, warranties, undertakings or indemnities in the Placing Agreement.

 

Each Placee and any person acting on behalf of the Placee acknowledges and agrees that Liberum, WH Ireland or any of their respective affiliates may, at their absolute discretion, agree to become a Placee in respect of some or all of the Placing Shares.

 

When a Placee or person acting on behalf of the Placee is dealing with a Joint Bookrunner, any money held in an account with that Joint Bookrunner on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FCA made under the FSMA. The Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from the Joint Bookrunner's money in accordance with the client money rules and will be used by the Joint Bookrunner in the course of their own business and the Placee will rank only as a general creditor of such Joint Bookrunner.

 

All times and dates in this Announcement may be subject to amendment. The Joint Bookrunners shall notify the Placees and any person acting on behalf of the Placees of any changes.
