Confirmation of Capital Reduction Exercise
Fenner is pleased to confirm that it has today received the confirmation of the High Court in London approving Fenner's reduction of share capital ("Reduction") and the cancellation of the amount standing to the credit of Fenner's share premium account ("Cancellation") as proposed in Fenner's AGM Notice dated 9th December 2015.
A Claim Form was issued on 10 June 2016 seeking confirmation of the Reduction and Cancellation and it was heard before a Companies Court Registrar at The Royal Courts of Justice, 7 Rolls Building, Fetter Lane, London EC4A 1NL, earlier today.
Following the registration of Fenner's statement of capital and the Court order dated 6 July 2016 at Companies House; it was confirmed that the Reduction and Cancellation has created £127.98 million of additional distributable reserves out of the Company's share premium account and merger reserve. These distributable reserves will be available to form part of distributions to shareholders, or for any other corporate purposes the Directors may consider appropriate, in the future.
