Grant of Options
London, UK, 24 April 2020 - Feedback plc (AIM: FDBK, "Feedback" or the "Company"), the specialist medical imaging technology company, announces that it has granted a total of 19,000,000 options to subscribe for new ordinary shares in the Company under the Company's EMI Share Option Scheme ("Employee Options") to certain of its directors and employees, as detailed below.
The Employee Options are being issued in lieu of salary increases and bonuses this year, to support staff retention and to further align overall reward with increasing shareholder value.
The Employee Options are exercisable at a price of 1.2 pence per share and will vest, subject to the grantees' continued employment with the Company, over three years as to one-third on the first anniversary of the date of grant, one-third on the second anniversary of date of grant and one-third on the third anniversary of date of grant. The Employee Options expire 10 years after date of grant. The aggregate 19,000,000 Employee Options represent 3.52% of the Company's issued share capital.
The Employee Options are being granted to the following directors and persons discharging managerial responsibilities ("PDMRs"):
- Rory Shaw, Non-executive Chairman and Chief Medical Officer of the Company, has been granted 5,000,000 Employee Options;
- Lindsay Melvin, Finance Director of the Company, has been granted 1,500,000 Employee Options; and
- Mike Hayball, Stephen Brown, Nick Mayhew and Stephen McAteer have each been granted 2,000,000 Employee Options.
Following the grant of the Employee Options, the Company has a total of 60,330,829 options to subscribe for ordinary shares in the Company in issue, representing 11.17% of the Company's issued share capital at the date of this announcement.
The exercise price of 1.2 pence per share reflects the price at which the Company last completed an equity fundraise in August 2019 and represents a premium of 17.65 per cent to the closing share price on the last trading day before this announcement. The Company's 30 day average closing mid-price is 0.62 pence per share and the closing share price on the last trading day before this announcement was 1.02 pence per share.
