Publication of Circular

Further to the announcement made on 5 June 2020, the Company has today published a circular ("Circular") in relation to proposed amendments to the Company's Articles of Association. The Company intends to seek approval by Shareholders to amend its Articles of Association in order to incorporate additional protections typically available to UK public companies under the Takeover Code, which are not currently available to Fulcrum as a company incorporated in the Cayman Islands.

The Circular contains a notice convening a General Meeting of the Company which is to be held at the offices of the Company, 2 Europa View, Sheffield Business Park, Sheffield S9 1XH, on 25 June 2020 at 12 p.m.

Terms used in this announcement shall have the same meaning as those used in the Circular.

Potential impact of Coronavirus (COVID-19) on the General Meeting.

The Company is closely monitoring developments relating to the current outbreak of COVID-19, including the related public health guidance and legislation issued by the UK Government.

At the time of publication of this Notice, the UK Government has prohibited public gatherings indoors. In light of these measures, the General Meeting will be run as a closed meeting and Shareholders and Depositary Interest holders will not be able to attend in person. The Company will make arrangements such that the legal requirements to hold the General Meeting can be satisfied through the attendance of a minimum number of people and the format of the General Meeting will be purely functional. Anyone seeking to attend the General Meeting in person will be refused entry.

Shareholders are therefore strongly encouraged to submit a form of proxy (or if a Depositary Interest holder a form of direction) in advance of the General Meeting. Given the current restrictions on attendance, Shareholders are encouraged to appoint the chairman of the meeting as their proxy rather than a named person who will not be permitted to attend the General Meeting.
