Re-issue of Treasury Shares

FBD Holdings plc ("FBD" or the "Company") announces that 189,998 Ordinary Shares of €0.60 each (hereinafter "shares") were transferred out of the Company's holding of treasury shares today pursuant to the vesting of shares conditionally awarded to executives in March 2017 under the FBD Performance Share Plan, or LTIP, which was approved by shareholders in May 2007.

These shares were transferred at a price of €6.00 per share.

Issued Share Capital Update

Following the above transfer FBD now holds 408,744 shares in treasury and has 35,052,462 shares of €0.60 each in issue, excluding the treasury shares.

Confirmation of number of voting rights

The total number of shares in issue which are both admitted to trading on Euronext Dublin and the London Stock Exchange and carry voting rights is 35,052,462. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest, or a change to their interest, in FBD Holdings plc.

Section 109 (4) of the Companies Act, 2014 effectively suspends any voting rights attaching to the 408,744 treasury shares for so long as they are held in treasury.
