Directorate Changes

Appointment of Director

FBD Holdings plc ("FBD" or the "Company") is pleased to announce the appointment on 29 August 2011 of Mr. Dermot Mulvihill as a non-executive Director of the Company. Mr. Mulvihill has also been appointed to the Audit Committee with effect from the same date.

Mr. Mulvihill is a Chartered Accountant and was Group Finance Director of Kingspan Group plc for 26 years up until his retirement in May 2011. He will bring his considerable strategic and commercial acumen to the Board together with experience of corporate finance, accounting, auditing, corporate governance and executive reward.

There are no details to be disclosed under Listing Rule 6.6.7 (1) to (6) of the Listing Rules of the Irish Stock Exchange and Listing Rule 9.6.13 (1) to (6) of the Listing Rules of the UK Listing Authority.

Director Retirements

As announced on 30 March 2011, Mr. John Donnelly and Dr. Patrick O'Keeffe, both non-executive Directors of the Company, retired from the Board after the Board meeting held on 29 August 2011. The Board wishes to reiterate its appreciation for the outstanding contribution both made to the development of the FBD Group during the period of their service on the Board. Mr. Donnelly also stepped down from the Nomination Committee and Dr. O'Keeffe from the Audit, Remuneration and Nomination Committees with effect from 29 August 2011.
