Gazprombank (OJSC) acquired 24,065,588 USD 0.0000125 ordinary shares on 11 December 2013, giving it a total holding of 43,115,588 shares. Nagelfar Trade and Invest Limited (a subsidiary of Gazprombank (OJSC)) (as seller) and Sinclare Holdings Limited (as purchaser) entered into a Forward Sale Agreement dated 11 December 2013 for the sale of 43,115,588 USD 0.0000125 ordinary shares at a price payable within 108 calendar days of 11 December 2013 (with completion to occur no later than 5 business days thereafter). Completion under the forward sale agreement may be conditional on any required regulatory approvals.
