NOTICE OF INTENTION TO REQUEST VOLUNTARY CANCELLATION OF THE LISTING OF THE COMPANY'S ORDINARY SHARES AND WARRANTS
Further to the Company's announcement of 16 June 2021 relating to the acquisition of SK Invictus Intermediate S.à.r.l. ("Perimeter Solutions") and in accordance with Listing Rule 5.2.8, the Company hereby gives notice of its intention to request that the Financial Conduct Authority (the "FCA") cancel the listing of the Company's Ordinary Shares (ISIN VGG3218K1003) (the "Shares") and Warrants (ISIN VGG3218K1185) (the "Warrants") on the standard segment of the Official List of the FCA and to request the London Stock Exchange to cancel the admission to trading of the Shares and Warrants on the main market for listed securities of the London Stock Exchange (together, the "Cancellation").
Pursuant to Listing Rule 5.2.8, the Company is required to give at least 20 business days' notice of the intended Cancellation. The Company currently anticipates that it will request Cancellation as soon as possible following expiry of the required notice period. The Company anticipates that the acquisition of Perimeter Solutions will be completed at that time and, following the Cancellation, it is intended that the enlarged group will be admitted to trading on the New York Stock Exchange.
