Notification of Transactions by Directors/Persons Discharging Managerial Responsibility and/or their Connected Persons

Grant of Award under the esure Group plc 2016 Restructuring Award Plan ("RAP")

This notification is made in accordance with Article 19 of the Market Abuse Regulation.

On 10 November 2016, Awards over ordinary shares in esure Group plc (the "Company") were made to the following executive directors under the esure Group plc 2016 Restructuring Award Plan:

Awards granted under the RAP will vest on the first anniversary of the grant date and will be subject to a holding period which will end on:

i. the second anniversary of the grant date, for one third of the Shares in respect of which the award vests;

ii. the third anniversary of the grant date, for one third of the Shares in respect of which the award vests; and

iii. the fourth anniversary of the grant date, for the remaining Shares in respect of which the award vests.

No consideration was paid for the grant of the Awards and there will be no performance conditions.

The Company was informed of the above transactions on 11 November 2016.
