Ensor Holdings PLC04 April 2005 ENSOR HOLDINGS PLCACQUISITION Ensor Holdings PLC ("Ensor") announces that on 1 April 2005 it completed theacquisition of the business and certain assets of Wood's Packaging, adistributor of packaging materials. The purchase consideration is payable in cash and comprises £750,000 forgoodwill plus £13,000 being the written down value of fixed assets, both payableon completion, plus stock at book value which is expected to be approximately£50,000 and will be payable upon agreement of the valuation. Proforma pre-tax profits of the business are assessed to be around £300,000 per annum. One of the vendors will be retained by Ensor to continue to manage the business.However, no additional directors will be appointed to the board of Ensor as aresult of this acquisition. The acquisition is in line with Ensor's strategy to focus its activities ondistribution businesses and to make suitable acquisitions when appropriateopportunities arise.
