Director/PDMR Shareholding, Share Capital Update and Share Matching Plan Award

EPE Special Opportunities plc ("ESO plc" or the "Company") announces that on the 1 April 2015 it purchased 522,914 shares of 5 pence each ("Ordinary Shares") at an average price of 110 pence per share. The Ordinary Shares were purchased by a wholly owned subsidiary of the Company, Corvina Limited. The repurchased Ordinary Shares may be held and resold as if they were Treasury Shares.

The number of Ordinary Shares in issue following this transaction is 28,178,558 (including 1,191,280 shares held by the Employee Benefit Trust which have traditionally not voted) and is the figure to be used as the denominator for calculations of interests in the Company's voting rights.

The Company also announces that on 1 April 2015 the Company made further awards under the Share Matching Plan. Awards of Matching Shares totalling 263,952 were made with shares expected to be purchased out of Treasury shortly by the Employee Benefit Trust (established under the Share Matching Plan) to satisfy the awards. All of the awards were made to Eligible Participants including Giles Brand (awards made over 27,273 shares) and four Directors of the Company, Geoffrey Vero (awards made over 18,182 shares), Clive Spears (awards made over 6,818 shares), Nicholas Wilson (awards made over 6,818 shares) and Robert Quayle (awards made over 6,818 shares).

Giles Brand (the Managing Partner of EPIC Private Equity LLP which is the Investment Advisor to the Company) and his connected persons purchased 27,199 Ordinary Shares in the market and now hold 6,337,905 Ordinary Shares representing 22.49% of the issued Ordinary Share capital of the Company.

Geoffrey Vero purchased 18,182 Ordinary Shares in the market and now holds 78,802 Ordinary Shares representing 0.28% of the issued Ordinary Share capital of the Company.

Nicholas Wilson purchased 6,818 Ordinary Shares in the market and now holds 64,892 Ordinary Shares representing 0.23% of the issued Ordinary Share capital of the Company.

Clive Spears purchased 7,500 Ordinary Shares in the market and now holds 45,255 Ordinary Shares representing 0.16% of the issued Ordinary Share capital of the Company.

Robert Quayle purchased 6,818 Ordinary Shares in the market and now holds 44,573 Ordinary Shares representing 0.16% of the issued Ordinary Share capital of the Company.

All of the above trades were made at a price of 110 pence per Ordinary Share.
