Transfer of Shares by a Director
The Company has received notification from Hank Uberoi, Chief Executive of Earthport, that on 23 December 2014, HU Investments L.L.C., a family investment vehicle wholly controlled by Mr Uberoi, transferred 1.4 million ordinary shares in the Company to the Uberoi Foundation, a charitable foundation which is controlled by Mr Uberoi and his family. Furthermore, HU Investments L.L.C. has transferred 8,460,000 ordinary shares in the Company to Haystack Investments II, Ltd, an investment vehicle wholly owned and controlled by HU Investments.
Following these transfers, Mr Uberoi's aggregate controlled interest in Earthport remains unchanged and totals 26,062,450 ordinary shares, representing 5.48 per cent. of the issued share capital of the Company, and are held as follows:
