Electrica informs that, both the Civil Decision rendered on 14 October 2020 by the Cluj Specialized Tribunal, and the Civil Ruling rendered on 26 November 2020 by the Cluj Specialized Tribunal through which the clerical error from the operative part of the decision was corrected, are final.

We remind that by the Civil Decision rendered on 14 October 2020, the Cluj Specialized Tribunal approved the request submitted by Societatea de Distribuție a Energiei Electrice Transilvania Nord S.A., as absorbing company, respectively by Societatea de Distribuție a Energiei Electrice Transilvania Sud S.A. and by Societatea de Distribuție a Energiei Electrice Muntenia Nord S.A., as absorbed companies, ascertained the legality of the resolutions of the shareholders of the participating companies approving the merger and ordered the registration with the Trade Register of the shareholders' resolutions, as well as of the articles of association updated as at 26 August 2020. By the same decision, the court ordered the deregistration of the absorbed companies from the Trade Register and rejected the other heads of claim as unfounded (the requests concerned issues to be resolved directly by the Trade Register Office).

In addition, by the Civil Ruling rendered on 26 November 2020, the Cluj Specialized Tribunal ordered that the clerical error from the operative part of the Civil Decision rendered on 14 October 2020 by the Cluj Specialized Tribunal be corrected, so that the date of the approval of the resolutions of the extraordinary general meetings of the shareholders of the three companies participating to the merger be read as 26 August 2020 instead of 3 June 2020, as it was erroneously indicated.
