Notification concerning interests in shares of Elan Corporation plc (the "Company"). 1. Wellington Management Company, LLP ("WMC"), is registered as aninvestment adviser with the United States Securities and Exchange Commission andacts as discretionary investment manager on behalf of various separate (the "Accounts") that hold an interest in shares of the Company. WellingtonManagement's interest in the shares is as an investment manager, as is mentionedin Sections 67(1) and 77(4) (B) of the Companies Act 1990 (the "Act"). TheAccounts do not act as a group nor do they act in concert with respect to theinterests in shares. Wellington Management acquired the interests in shares forthe Accounts in its capacity as discretionary investment manager to, and solelyfor the benefit of, the Accounts, and the interests were acquired solely forinvestment purposes. The shares are registered in the name of the Accounts orthe Accounts' custodians or nominees according to their respective holdings. 2. Wellington Management as discrtionary investment manager on behalf ofvarious separate accounts, has purchased, in the aggregate, 940,400 ordinaryshares and 21,813,644 ADR shares. On a converted basis, this represents theequivalent of 22,754,044 ordinary shares, or 5.27% of the shares outstanding, ofthe Company. Therefore, Wellington Management hereby gives notice to theCompany of such interest in shares, pursuant to the provisions of Sections 67(1)and 77(4)(B) of the Act. 3. This notice is given in fulfillment of, and for the express purpose ofdischarging the obligations imposed on us by, Sections 67(1) and 77(4)(B) of theAct and arising out of the circumstances referred to in paragraph 2.
