Thomson Intermedia PLC04 August 2005 Thomson Intermedia PLC, ('Thomson Intermedia' or the 'Company') Directors Shareholding The Company was notified today that Fiona Driscoll, a non-executive director ofthe Company, had purchased earlier today 20,000 ordinary shares in the Companyat 210p bringing her total shareholding to 71,023 representing 0.25 per cent. ofthe current issued share capital. In addition, the Company was also notified today that John Napier, thenon-executive Chairman of the Company, had sold earlier today 20,000 ordinaryshares in the Company at 210p taking his total shareholding to 165,500representing 0.58 per cent. of the current issued share capital. Further to yesterday's announcement about Thomson Intermedia's proposedacquisition of BCMG Limited ('Billetts') for a maximum consideration of £13.1million, Sarah Jane Thomson and Stephen Thomson (joint Chief Executives andfounding shareholders) have agreed to sell a further 360,000 ordinary shares atthe Placing Price, 210p, conditional on the Acquisition. This takes the totalproposed sale by Sarah Jane Thomson and Stephen Thomson to 2,360,000 ordinaryshares, which is conditional on the Acquisition.
