Exercise of Options

Director/PDMR Shareholding

Driver Group plc (AIM: DRV.L), the global construction consultancy to the construction and engineering industries, announces that it has been notified that Alan McClue, Non-executive Chairman of the Company, has yesterday exercised options over a total of 625,000 ordinary shares (the "Options") under the Company's employee share option schemes. The Options, which are due to expire on 1 October 2014, are subject to certain vesting conditions, which have all been met.

The Options comprise 250,000 options with an exercise price of 21.5 pence per share and a further 375,000 options with an exercise price at nil pence per share.

Accordingly, application has been made for the 625,000 new ordinary shares to be admitted to trading on AIM and it is expected that admission will take place on 7 October 2014.

The new ordinary shares will rank pari passu with the existing shares of the Company. Pursuant to admission of the new ordinary shares, the total issued share capital of Driver Group will be 27,754,416 ordinary shares.

The above figure of 27,754,416 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Driver Group, under the Disclosure and Transparency Rules.

As a result of the aforementioned exercise of options, Mr McClue's total beneficial holding in Driver Group has increased to 942,500 ordinary shares representing 3.40 per cent. of the enlarged issued share capital.
