Exercise of options

Driver Group plc (AIM: DRV.L), the global construction consultancy to the construction and engineering industries, announces that the Remuneration Committee has granted Steve Norris, Non-Executive Chairman of the Company, options over 600,000 ordinary shares. The share options which have been granted to Steve Norris are conditional on the future performance of the Company. The options will vest on the following basis should the Company achieve specified underlying earnings per share in any financial year up to and including the year ended 30 September 2017:

The achievement of these targets would reflect growth of approximately 1.8 times, 2.2 times and 2.7 times the underlying earnings per share in financial year ended 30 September 2014 of 11.2p. The share options are exercisable at a price of 63.5 pence per share.

In addition, the Company announces the issue and allotment of 100,000 new ordinary shares of 0.4p each in the Company (the "New Ordinary Shares") pursuant to the exercise of share options by an employee.

Application has been made for the New Ordinary Shares to be admitted to trading on AIM and it is expected that admission will take place on 1 April 2015. The New Ordinary Shares will rank pari passu with the existing shares of the Company. Following this allotment, the total issued share capital of the Company will increase to 31,101,190 ordinary shares.

The above figure of 31,101,190 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Driver Group, under the Disclosure and Transparency Rules.
