Statement Regarding Third Increased Cash Offer for Darty plc by Conforama Investissement SNC

Groupe Fnac ("Fnac" or the "Company") notes the announcement made by Conforama Investissement SNC's ("Conforama") on 21 April 2016 in relation to its third increased cash offer for Darty plc ("Darty"). Fnac is currently considering its position and urges Darty's shareholders to take no action.

This announcement will be made available on the Fnac website, www.groupe-fnac.com, in accordance with Rule 26.1(b) of the City Code on Takeovers and Mergers.
