Publication of Scheme Document

On 2 June 2023, the boards of directors of Dechra and Bidco announced they had reached agreement on the terms and conditions of a recommended cash acquisition by Bidco of the entire issued, and to be issued, ordinary share capital of Dechra (the "Acquisition"). The Acquisition is being implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "2006 Act") (the "Scheme").

Dechra is pleased to announce that a circular in relation to the Scheme (the "Scheme Document") setting out, amongst other things, a letter from the Chair of Dechra, the full terms and conditions of the Scheme, an explanatory statement pursuant to section 897 of the 2006 Act, an expected timetable of principal events, notices of the Court Meeting and the General Meeting and details of the actions to be taken by Dechra Shareholders, has been published today on Dechra's website (subject to any restrictions relating to persons resident in Restricted Jurisdictions) at https://www.Dechra.com/investors/cash-offer.

Hard copies of the Scheme Document (or, depending on Dechra Shareholders' communication preferences, a letter or email giving details of the website where the Scheme Document may be accessed) and Forms of Proxy for the Court Meeting and the General Meeting are being sent to Dechra Shareholders. For information purposes only, Dechra is also sending a copy of the Scheme Document to persons with information rights and participants in the Dechra Share Plans and details of the proposals being made to such participants will be sent to them separately. Capitalised terms used in this announcement (the "Announcement") shall, unless otherwise defined, have the same meanings as set out in the Scheme Document. All references to times in this Announcement are to London, United Kingdom times unless otherwise stated.

Recommendation

The Dechra Directors, who have been so advised by Investec as to the financial terms of the Acquisition, consider the terms of the Acquisition to be fair and reasonable. In providing its advice, Investec has taken into account the commercial assessments of the Dechra Directors. Investec is providing independent financial advice to the Dechra Directors for the purposes of Rule 3 of the Takeover Code.

Accordingly, the Dechra Directors recommend unanimously that Dechra Shareholders vote in favour of the Scheme at the Court Meeting and the Resolution to be proposed at the General Meeting (or, in the event the Acquisition is implemented by an Offer, to accept or procure acceptance of such offer) as those Dechra Directors (and Ishbel Jean Stewart Macpherson, a former Dechra Director who resigned from the Dechra Board with effect from 22 June 2023) who hold Dechra Shares have irrevocably undertaken to do in respect of their own holdings over which they have control, being, in aggregate, 433,573 Dechra Shares representing, in aggregate, approximately 0.381 per cent. of the share capital of Dechra in issue as 22 June 2023 (being the latest practicable date prior to the date of the Scheme Document).

Dechra Shareholders should carefully read the Scheme Document in its entirety before making a decision with respect to the Scheme.

Trading Update

As at the date of this Announcement, the Dechra Directors provide further guidance for the 2023 financial year and that they expect that full year underlying operating profit for the year ending 30 June 2023 will not exceed £168 million (the "Dechra FY23 Profit Forecast"), which constitutes a profit forecast for the purposes of Rule 28.1 of the Takeover Code. The Dechra FY23 Profit Forecast and the reports required by Rule 28.1 of the Takeover Code in respect of it are set out in Part 12 (Dechra FY23 Profit Forecast) of the Scheme Document.

Action required and notices of the Court Meeting and General Meeting

As further detailed in the Scheme Document, in order to become Effective, the Scheme will require, among other things, (i) approval of the requisite majority in number of Scheme Shareholders present and voting either in person or by proxy at the Court Meeting (or any adjournment thereof), which has been convened by an order of the Court, representing not less than 75 per cent. in value of the Scheme Shares voted by such Scheme Shareholders, and the passing of the Resolution by the requisite majority of Dechra Shareholders at the General Meeting (or any adjournment thereof); and (ii) the sanction of the Scheme by the Court. The Scheme is also subject to the satisfaction or (where applicable) waiver of the Conditions and further terms that are set out in the Scheme Document.

Notices convening the Court Meeting and General Meeting to be held at 6 Cheshire Avenue, Cheshire Business Park, Lostock Gralam, Northwich CW9 7UA at 11.00 a.m. and 11.15 a.m. (or, if later, as soon as the Court Meeting has been concluded or adjourned), respectively, on 20 July 2023 are set out in the Scheme Document.

Any changes to the arrangements for the Court Meeting and the General Meeting will be communicated to the Scheme Shareholders and Dechra Shareholders before the relevant Meetings, through Dechra's website at https://www.Dechra.com/investors/cash-offer and by announcement through a Regulatory Information Service.

It is important that, for the Court Meeting in particular, as many votes as possible are cast so that the Court may be satisfied that there is a fair and reasonable representation of the opinion of Scheme Shareholders. Scheme Shareholders and Dechra Shareholders are therefore strongly encouraged to submit proxy appointments and instructions for the Court Meeting and the General Meeting using any of the methods set out in the Scheme Document (by post or by email, online or electronically through CREST) as soon as possible and in any event so that the proxy appointment and instructions are received no later than 11.00 a.m. on 18 July 2023 in the case of the Court Meeting and 11.15 a.m. on 18 July 2023 in the case of the General Meeting or, in the case of any adjournment, not later than 48 hours before the time set for the adjourned Meeting(s) (excluding any non-working days). Scheme Shareholders and Dechra Shareholders are also strongly encouraged to appoint "the Chair of the meeting" as their proxy.

Expected timetable of principal events

The Scheme Document contains an expected timetable of principal events relating to the Scheme, which is also set out in the Appendix to this Announcement. The Scheme remains conditional on the approval of the Scheme Shareholders at the Court Meeting and Dechra Shareholders at the General Meeting and on the satisfaction or waiver of the other Conditions set out in the Scheme Document, including the sanction of the Court. The dates and times given are indicative only and are based on Dechra's and Bidco's current expectations and may be subject to change. If any of the dates and/or times set out in the expected timetable change, an announcement will be made through a Regulatory Information Service with such announcements also being made available on Dechra's website at https://www.Dechra.com/investors/cash-offer and, if required by the Panel, by posting notice of the change(s) to Dechra Shareholders.

The Scheme is expected to become Effective towards the end of 2023 or in early 2024. Dechra will make further announcements relating to the expected timetable following receipt of relevant antitrust and regulatory clearances through a Regulatory Information Service, with such announcements also being made available on Dechra's website at https://www.Dechra.com/investors/cash-offer.

Information for Dechra Shareholders

If the Scheme is sanctioned as outlined above, the last day of dealings in, and registration of transfers of, Dechra Shares on the Main Market of the London Stock Exchange is expected to be the Business Day immediately after the Sanction Hearing, following which Dechra will make an application to the London Stock Exchange for suspension of dealings in Dechra Shares on the London Stock Exchange's Main Market with effect from 7.30 a.m. on the second Business Day following the Sanction Hearing. It is intended that, prior to the Effective Date, requests will be made to: (i) the London Stock Exchange for Dechra Shares to cease to be admitted to trading on the London Stock Exchange's Main Market; and (ii) the FCA for the listing of Dechra Shares on the Official List to be cancelled, in each case to take effect at 7.30 a.m. on the Business Day following the Effective Date.

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under the laws of England and Wales. It may be difficult for U.S. holders of Dechra Shares to enforce their rights and any claim arising out of the U.S. federal laws, since Bidco and Dechra are located in a non-U.S. jurisdiction, and some or all of their officers and directors may be residents of a non-U.S. jurisdiction.
