Posting of Circular regarding the Disposal of Danka's businesses operations and proposed Members' Voluntary Liquidation.
Further to the announcement released on 8 April 2008, the Company confirms that a circular, setting out details of the disposal of its business operations to Konica Minolta and proposed Members' Voluntary Liquidation and convening an Extraordinary General Meeting, has now been posted to Danka Shareholders. The Disposal is expected to complete and the Members' Voluntary Liquidation is expected to commence by 30 June 2008.
The EGM is to be held at 2.00 p.m. on 27 June 2008.
It is expected that the listing of Danka Ordinary Shares will be suspended at 7.30 a.m. on the day of the EGM.
Subject to the approval of all of the Resolutions relating to the Members Voluntary Liquidation, application will be made to cancel the listing of Danka Ordinary Shares on the Official List. It is expected that the listing of Danka Ordinary Shares will be cancelled at 8.00 a.m. on the business day following the EGM, being 30 June 2008.
Copies of the Circular will be available for inspection at the Financial Services Authority's Document Viewing Facility, the registered office of the Company (Masters House, 107 Hammersmith Road, London W14 0QH) and the offices of Skadden, Arps, Slate, Meagher & Flom (UK) LLP (40 Bank Street, Canary Wharf, London E14 5DS).
