Notification of transactions by persons discharging managerial responsibilities and persons closely associated with them
27 June 2018
De La Rue plc (the "Company") announces the following changes in the interests of Directors and Persons Discharging Managerial Responsibilities (PDMRs) in ordinary shares of 44 152/175p ("Shares") in the capital of the Company.
De La Rue Performance Share Plan ("PSP")
On 26 June 2018, in accordance with the PSP the Directors and PDMRs listed in the table below were awarded an interest in Shares following the grant of an award of Nil Cost Options over the Company's Shares. The number of Shares awarded was calculated by reference to a price of £5.51, being the average of the Company's middle market closing price for a Share for the five consecutive dealing days commencing on 19 June 2018.
Sixty per cent of the award will vest on 26 June 2021 and the remaining forty per cent will vest on 26 June 2022, subject to continued employment with De La Rue and the achievement of a number of performance conditions. The number of Shares shown below represents the maximum that may be acquired if all performance conditions are achieved in full. The Company may also transfer additional Shares to reflect the value of dividends that would have been paid over the period between the Award Date and the Vesting Date on the Shares that vest.
