Options under the Dialight plc Annual Performance Bonus Plan ("APBP")

On 5 April 2022, Fariyal Khanbabi, Group Chief Executive Officer and Executive Director, was granted a Deferred Share Award ("Deferred Award") in the form of nil cost options that entitled her to receive 24,327 ordinary shares of 1.89 pence each in the Company in accordance with the rules of the APBP.

The Deferred Award will be exercisable in two equal tranches on or after 31 January 2024 and 31 January 2025, subject to continued employment at each date of vesting.

No consideration was paid for the grant of these awards and no consideration is due to be paid by Fariyal Khanbabi on the vesting of the awards. A mandatory two-year post-vesting holding period applies to the award.
