Vesting of Restricted Stock Units and Total Voting Rights

Diversified Gas & Oil PLC (AIM: DGOC), the US based owner and operator of natural gas, natural gas liquids and oil wells and as well as midstream assets, announced on 2 November 2017 and 26 July 2018 the award of Restricted Stock Units ("RSUs") issued under the Company's equity incentive plan (the "Plan") to certain of the Company's directors and senior management. In accordance with the terms of the Plan, 125,949 RSU's have vested and the Company has therefore issued and allotted an aggregate of 125,949 new ordinary shares of 1 pence each in the Company (the "New Shares") to a number of employees. 

Application has been made for the New Shares to be admitted to trading on AIM which is expected to occur on or around 29 November 2019. The New Shares will rank pari passu in all respects with the Company's existing ordinary shares of 1 pence each ("Ordinary Shares").

Following the issue of the New Shares the Company has 659,564,954 Ordinary Shares in issue. No Ordinary Shares are held in treasury. The figure of 659,564,954 may be used by the Company's shareholders as the denominator in the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
