Result of placing of existing ordinary shares in Diversified Gas & Oil PLC

("DGOC" or the "Company")

Further to the announcement released on 12 December 2018, the Company announces that affiliates of Trive Capital (Trive Capital Fund II and TCFII Core SPV LP or the "Seller"), subject to completion, have sold in aggregate 22,500,000 ordinary shares in the capital of the Company at a price of 114 pence per share (the "Placing"), raising aggregate gross proceeds of £25,650,000 million.

Following completion of the Placing, the Seller will hold 7,372,974 ordinary shares in the Company. The ordinary shares in DGOC that the Seller continues to hold are subject to the original lock-in agreements, agreed on 10 October 2018, as part of Core Appalachia acquisition.

The trade date for the Placing will be 13 December 2018 and settlement is expected to occur on 31 December 2018 on a T+10 basis, subject to the transfer of US-held shares to the UK-based registrar. The proceeds from the Placing are payable in cash.

The Company is not a party to the Placing and will not receive any proceeds from the Placing.

Stifel Nicolaus Europe Limited ("Stifel") and Mirabaud Securities ("Mirabaud") acted as Joint Bookrunners in connection with the Placing.

The Target Market Assessment is without prejudice to the requirements of any contractual, legal or regulatory selling restrictions in relation to the Placing. Furthermore, it is noted that, notwithstanding the Target Market Assessment, the Banks will only procure investors who meet the criteria of professional clients and eligible counterparties. For the avoidance of doubt, the Target Market Assessment does not constitute: (a) an assessment of suitability or appropriateness for the purposes of MiFID II; or (b) a recommendation to any investor or group of investors to invest in, or purchase, or take any other action whatsoever with respect to Placing Shares.
