Distribution Finance Capital Holdings plc("DFC" or the "Company" or together with its subsidiaries the "DFC Group")
Grant of Options to Directors and Persons Discharging Managerial Responsibilities (together "PDMRs")
In accordance with the terms of the Distribution Finance Capital Holdings plc Performance Share Plan (the "PSP"), the Company's Chief Executive Officer, Carl D'Ammassa, and its Chief Financial Officer, Gavin Morris, have been granted nil-cost options over ordinary shares in the capital of the Company.
Performance Options
Carl D'Ammassa has been granted nil-cost options over 900,000 ordinary shares of £0.01 each ("Shares"), representing approximately 0.84% of the current share capital of the Company. This grant has been made in connection with Carl D'Ammassa's recruitment as Chief Executive Officer.
Gavin Morris has been granted nil-cost options over 200,000 Shares, representing approximately 0.19% of the current share capital of the Company. This grant has been made as an ordinary course award under the terms of the PSP.
The above options will be subject to vesting over a three year period and will be subject to specific performance conditions which, in line with guidance from the Investment Association, shall be determined by the remuneration committee within six months of the date of grant.
All Employee Options
Carl D'Ammassa has been granted nil-cost options over 5,000 Shares, approximately 0.005% of the current share capital of the Company.
Gavin Morris has been granted nil-cost options over 5,000 Shares, representing approximately 0.005% of the current share capital of the Company.
The above options have been granted as part of a grant of options to all permanent employees of the Company and will be subject to vesting over a three year period.
Employee Benefit Trust
All options referred to above shall (subject to vesting) be satisfied using Shares held by the trustee of the Company's employee benefit trust and will not therefore result in any new shares being issued.
