Exercise of Warrants

Dev Clever (LSE: DEV), a leading developer of careers guidance and development platforms, announces that it has received notice of the exercise of warrants over 768,704 ordinary shares of 1 pence each in the share capital of the Company ("Ordinary Shares") at an exercise price of 3.4 pence per share. The aggregate gross proceeds of this exercise are £26,136.

The Company has made application for the 768,704 new Ordinary Shares to be admitted to the standard segment of the Official List and to trading on the Main Market of the London Stock Exchange. Admission is expected to occur at 8:00 a.m. on Thursday, 17 September 2020.

The new ordinary shares will rank pari passu with the existing ordinary shares of the Company. Following the issue of the new ordinary shares, the Company's issued share capital will comprise of 471,219,794 ordinary shares (including the 768,704 new ordinary shares). This figure of 471,219,794 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
