Director/PDMR Shareholdings - Amendments to Terms of Options
Directa Plus (AIM: DCTA), a leading producer and supplier of graphene nanoplatelets based products for use in consumer and industrial markets announces certain amendments to long-term options held by certain option holders of the Company.
At the time of its admission to AIM on 27 May 2016 the Company established a performance related employee share scheme and granted a total of 1,099,539 options ("Options") to purchase ordinary shares of 0.25p each in the Company to certain executive directors and senior employees of the Company ("Option holders"), subject to meeting of certain objective targets, namely growth in EBITDA, share price and production targets, in line with the Company's forecasts prior to Admission. These awards were to vest on the third anniversary of the date of grant, being 27 May 2019.
The production capacity target has been satisfied and, as a result 33.3% of each award vested on the 27 May 2019 and is exercisable on or after today 28 May 2019. The Remuneration Committee have considered the impact of extending or not extending the remaining 66.7% of the Options and it was concluded that it was in the best interests of all shareholders that the scheme been amended such that these outstanding Options may be exercised on or after 27 May 2020, subject to meeting a new objective target, namely growth in revenue
