Issue of Equity and Total Voting Rights
Further to the announcement of 20 January 2015, IS Solutions (Ticker: AIM: ISL) has finalised the completion accounts calculation of the net asset value of Speed-Trap Holdings Limited at the time of Completion. This has resulted in the issue of 1,036,121 IS Solutions ordinary shares of 2 pence each ("Ordinary Shares") in accordance with the terms of the SPA.
Application has been made to the London Stock Exchange for 1,036,121 Consideration Shares to be admitted to trading on AIM. It is expected that Admission will become effective at 8:00 a.m. on 24 March 2015. On Admission, the Enlarged Share Capital will be 35,421,578 Ordinary Shares, including 137,452 Ordinary Shares held in treasury. Consequently, the total voting rights of the Company is 35,284,126. The above voting rights figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
Capitalised but undefined terms in this announcement shall have the meaning given to them in the definitions appearing in the circular sent to shareholders on 24 December 2014.
