Change of Name and Notice of General Meeting
The Board of D4t4 today notifies shareholders of its intention to hold a general meeting to seek shareholder approval to change the name of the Company to Celebrus Technologies plc ("General Meeting").
With the repositioning of the Company over the last two years to being predominantly a software business and recognising that the Celebrus platform will be the principal driver of future growth and shareholder value creation, the Directors consider that a change to the name of the Company to Celebrus Technologies plc will better reflect the substance of the Group's activities. This will also avoid confusion in the marketplace from the existence of two brands (D4t4 and Celebrus), and follows feedback received from customers and investors.
Following the proposed change of name the Company's TIDM will be updated to "CLBS", but its ISIN (GB0001351955), SEDOL (0135195) and LEI (213800HP3XUS3KTGWT63) numbers will remain unchanged.
Shareholders should also note that their holdings of ordinary shares in the Company will not be affected by the proposed change of name. Furthermore, existing share certificates should be retained as they remain valid for all purposes and new share certificates will not be issued.
Further details regarding the Company's proposed change of name, including the updated website address, containing the information required to be published pursuant to Rule 26 of the AIM Rules for Companies, will be announced in due course.
Notice of General Meeting
A letter will be posted to shareholders of the Company later today, informing them of the change of name and a general meeting at the Company's registered office (Windmill House, 91-93 Windmill Road, Sunbury-on-Thames, Middlesex TW16 7EF) on Thursday 9th November 2023, beginning at 09:00 GMT. The Notice of General Meeting and proxy form will be made available pursuant to AIM Rule 26 later today on the Company's website at https://www.d4t4solutions.com/investors/financial-reports-presentations.
AIM nominated advisor name change
The Company also notes that its nominated adviser and broker finnCap Ltd, has changed its name to Cavendish Capital Markets Limited.
