Board Changes and Director Dealings

On 29 November 2012, the Board announced its intention to pursue an alternative strategy for the development of the Group's business together with a proposed equity issue to raise GBP3,300,000 (before expenses) and a number of changes to the Board. Following Admission on 18 December 2012 of the 330,000,000 New Ordinary Shares issued pursuant to the equity raise, Ceres confirms that the Board changes have become effective and the issued share capital of the Company now comprises 416,215,662 New Ordinary Shares of 1 pence each.

In addition, the Company announces that:

Mr Rex Vevers, Finance Director of the Company, participated in the Open Offer, purchasing 97,456 New Ordinary Shares of 1 pence each. When combined with the 80,000 New Ordinary Shares held by Mr Vevers prior to the Open Offer, Mr Vevers now holds a total of 177,456 New Ordinary Shares of 1 pence each, representing approximately 0.04% of the Company's total issued share capital.

Dr Philip Whalen, Technology Director of the Company, participated in the Open Offer, purchasing 19,270 New Ordinary Shares of 1 pence each. When combined with the 15,841 New Ordinary Shares held by Dr Whalen prior to the Open Offer, Dr Whalen now holds a total of 35,138 New Ordinary Shares of 1 pence each, representing approximately 0.01% of the Company's total issued share capital.

Mr Mike Bretherton, Non-Executive Director of the Company, participated in the Firm Placing, purchasing 2,000,000 New Ordinary Shares of 1 pence each. Mr Bretherton's holding of 2,000,000 New Ordinary Shares of 1 pence each represents approximately 0.48% of the Company's total issued share capital.
