Total Voting Rights

In accordance with Disclosure and Transparency Rule 5.6.1R, Countrywide plc (the Company) hereby notifies the market of the following:

The Company's issued share capital as at 31 March 2015 consisted of 219,626,662 Ordinary Shares of 1p each.

Therefore, the total number of voting rights in the Company is 219,626,662. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Services Authority's Disclosure and Transparency Rules.

As the major shareholder Oaktree Capital Management holds 64,929,676 shares, unchanged since 31 December 2014, representing 29.563% of the issued share capital and voting rights.
