NOT FOR RELEASE, PUBLICATION OR DISTRIBUTION, IN WHOLE OR IN PART, IN OR INTO ORFROM ANY JURISDICTION (INCLUDING THE UNITED STATES) WHERE TO DO SO WOULDCONSTITUTE A VIOLATION OF THE LAWS OF SUCH JURISDICTION FOR IMMEDIATE RELEASE 9 May 2007 RECOMMENDED CASH AND SECURITIES OFFER FOR COUNTRYWIDE PLC Further to yesterday's announcement that the High Court of Justice had confirmedthe Reduction of Capital required to effect the recommended acquisition ofCountrywide by Castle Bidco, the Company hereby announces that the FinancialServices Authority and the London Stock Exchange have been requestedrespectively to suspend the listing of the Company's Shares on the Official Listand to suspend trading on the London Stock Exchange's market for listedsecurities with effect from 8.00 a.m. this morning, pending the Court Orders inrespect of the Scheme being delivered to the Registrar of Companies (and, inrelation to the Reduction Court Order, the registration of such Order by him)which is expected to take place shortly. The Scheme will become effective upon this occurring, at which point theFinancial Services Authority and the London Stock Exchange will respectivelycancel the listing of the Company's Shares on the Official List and canceltrading on the London Stock Exchange's market for listed securities withimmediate effect, and an appropriate announcement to this effect will be made. Unless otherwise defined herein, capitalised terms used in this announcementhave the same meaning as in the Scheme Documents and Announcement.
