Notification of Transactions of Directors / Persons Discharging Managerial Responsibility
RE: Paragraph 3.1.4 of the Disclosure and Transparency Rules
The notifications listed below were all received under Paragraph 3.1.2 of the Disclosure and Transparency Rules.
Countrywide plc (the "Company") announces that it received notification on 12 October 2015 of the following acquisitions of 36 ordinary shares of 1 pence each in the Company ("Ordinary Shares") under the Countrywide Share Incentive Plan (the "Plan"), namely the following Directors / Persons Discharging Managerial Responsibilities (each a "PDMR") were allocated Ordinary Shares on 9 October 2015 under the Plan, by Capita IRG Trustees Limited (the "Trustee"):

The Dividend Shares were purchased at a price per share of 499.5 pence.
