Notification of Transactions of Directors / Persons Discharging Managerial Responsibility

On 19 March 2015, Countrywide plc (the "Company") issued 181,701 ordinary shares of 1 pence each in the Company ("Ordinary Shares") and transferred from treasury 4,382,000 Ordinary Shares pursuant to the exercise of options under the Company's IPO Plan. Following the allotment of these shares, the enlarged issued share capital will be 219,626,662 Ordinary Shares.

The Company announces that it received notification on 19 March 2015 that the following Directors and PDMRs sold a combined total of 3,724,233 Ordinary Shares at an average price of 525.0p following the exercise of options under the IPO Plan:

* The options exercised under the Countrywide IPO Plan for Grenville Turner and Jim Clarke represent 50% of their total award. The remaining 50% will vest on 19 March 2016 as follows: Grenville Turner 758,639 and Jim Clarke 455,183.

This notification is made in order to satisfy both section 793 of the Companies Act 2006 and Disclosure and Transparency Rule 3.1.4R (1).
