Notification of Transactions of Directors / Persons Discharging Managerial Responsibility
Countrywide plc (the "Company") announces that on 19 May 2016 Jim Clarke, Chief Financial Officer and director of Countrywide plc (the "Company") exercised options under the IPO Plan as set out below, and as a result on 19 May 2016 the Company transferred to him 455,183 ordinary shares of 1 pence each which were held in treasury.

As a consequence of the above-mentioned transfer the Company holds 2,675,817 of its ordinary shares in treasury and has 217,017,155 ordinary shares in issue (excluding treasury shares). This figure (217,017,155) represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
This notification is made in order to satisfy Disclosure and Transparency Rule 3.1.4R (1).
