Director/PDMR shareholding

Consort Medical plc announces that certain directors and other persons discharging managerial responsibilities ('PDMRs') detailed below, have exercised awards over ordinary shares in the Company ('Ordinary Shares') in accordance with the terms of the Consort Medical plc Deferred Bonus Plan (the 'DBP') and the Consort Medical Long-Term Incentive Plan (the 'LTIP') (together the 'Awards').
The Awards vested on 19 June 2016 pursuant to respective awards made on 19 June 2013 and were exercised for nil consideration by the individuals on 22 June 2016.
The exercise of the Awards was satisfied out of the Ordinary Shares held in the Consort Medical plc Employee Share Ownership Trust.
Also on 22 June 2016, the below directors and PDMRs disposed of Ordinary Shares at £9.9175 per share, with part of the net proceeds of the disposals used to cover the tax liabilities associated to the exercise of the Awards. As a result, the relevant directors' and PDMRs' resultant interests in the Ordinary Shares of the Company remained unchanged as a result of the transactions.

The Company was informed of the above transactions by the Consort Medical Employee Share Ownership Trust on 22 June 2016.
Mr Glenn's residual shareholding of 150,554 equates to a 3.16 multiple of salary and Mr Cotton's residual shareholding of 49,486 equates to a 1.59 multiple of salary (calculated using the exercise share price of £9.9175 per share).
