Notification of Transactions of Directors or

Persons Discharging Managerial Responsibility and Connected Persons

On 10 September 2015, following the approval by shareholders of the Consort Medical plc Performance Share Plan 2015 ('PSP') at the Annual General Meeting held on 3 September 2015 and pursuant to the terms of the PSP, the following Directors/persons discharging managerial responsibilities ("PDMRs") of Consort Medical plc (the "Company"), were granted awards over ordinary shares in the Company ("Shares").

Each of the awards was granted as a nil cost option, in replacement for, in respect of the same number of Shares and subject to the same vesting period and performance targets as the awards granted to the Directors on 19 June 2015 under the 2005 Long Term Incentive Plan ('LTIP') which awards have now lapsed following the grant of the new awards under the PSP.
